LLAIE™ Lumber Company Referral Fee Agreement

1. Who This Agreement Applies To

This agreement applies to any wholesale lumber company ("Lumber Company") that registers for the LLAIE™ platform and participates in the LLAIE™ Builder Marketplace — the system by which LLAIE™ sends qualified builder bid requests to participating lumber companies.

Participation in the LLAIE™ marketplace is optional. Lumber companies may use LLAIE™ solely to serve their own private builders without joining the marketplace, in which case this referral fee does not apply.

2. The 3% Referral Fee — How It Works

When a Lumber Company wins a bid on a job that was referred through the LLAIE™ platform marketplace, the Lumber Company agrees to pay LLAIE™ a referral fee equal to 3% of the total lumber invoice value for that job.

• The 3% is calculated on the gross invoice amount billed to the builder for that specific project.
• The fee applies only to jobs sourced through the LLAIE™ marketplace — not to jobs the Lumber Company brings to LLAIE™ independently through their own private builder network.
• Builders are not charged this fee — it is solely the responsibility of the Lumber Company.
• The fee is invoiced by LLAIE™ within 30 days of project completion or delivery confirmation.

3. Payment Terms

• Referral fee invoices are due within 30 days of issuance.
• Late payments may result in suspension of marketplace access until the balance is settled.
• LLAIE™ reserves the right to remove any Lumber Company from the marketplace for non-payment after 60 days.
• All payments are made in USD. Preferred payment by ACH, check, or credit card (subject to a 3% processing surcharge if paying by card).

4. Reporting and Verification

By participating in the marketplace, the Lumber Company agrees to:

• Report the final invoice amount to LLAIE™ upon delivery or project completion for any LLAIE™-referred job.
• Provide documentation (invoice copy) upon LLAIE™'s request to verify the job total.
• Not misrepresent job values to reduce the referral fee owed. Violations may result in permanent removal from the platform.

5. Acceptance

By checking the agreement box during registration, the Lumber Company acknowledges that:

• They have read and understood this Referral Fee Agreement.
• They agree to pay LLAIE™ a 3% referral fee on all marketplace-referred jobs.
• This electronic acceptance constitutes a legally binding agreement.
• LLAIE™ may update these terms with 30 days written notice via email.
